Adjustment of Exercise Ratio and Exercise Price of TICON Warrants

                   The Stock Exchange of Thailand

According to the dividend payment from the 2004 performance
of Baht 0.50 per share, or 88 percent of the net profit after
tax, which is higher than 70 percent, the Company has an
obligation to adjust the exercise ratio and exercise price of
TICON-W1 and warrants issued to the Directors and employee in
August 2004 (ESOP-W) so as to retain the benefits of the
warrantholders.


The exercise ratio and exercise price of TICON-W1 and ESOP-W
will be changed as follows:


TICON-W1


New Exercise Ratio and Exercise Price = 5.11426 new ordinary
shares for 1 warrant, at the price of Baht 1 per share


(Old Exercise Ratio and Exercise Price = 5.06603 new ordinary
shares for 1 warrant , at the price of Baht 1 per share)


The new Exercise ratio and Exercise Price of TICON-W1 shall be
effective from the 13th exercise date, on June 30, 2005 onwards.


ESOP-W


New Exercise Ratio and Exercise Price = 1.00952 new ordinary
shares for 1 warrant, at the price of Baht 8.965 per share


(Old Exercise Ratio and Exercise Price = 1 new ordinary share
for 1 warrant , at the price of Baht 9.05 per share)


The new Exercise ratio and Exercise Price of ESOP-W shall be
effective from the 1st exercise date, on September 30, 2005
onwards.
