Subject Adjustment of Exercise Ratio and Exercise Price of TICON-W2

The Stock Exchange of Thailand
TICON's Board of Directors' Meeting No. 2/2006 has announced an allotment
of final dividend of Baht 0.6 per share from 2005 net profit, in addition
to Baht 0.6 per share interim dividend. The total dividend payment made up
altogether 94.77 percent of the Company's 2005 net profit. The proposed total
dividend payment, being more than 70% of net profit, will result in an
adjustment of exercise ratio and exercise price of TICON-W2 (according to
the Section 3, Item 2.4(e), of the Company's Prospectus Concerning the
Issuance of Warrants to directors/employees) from "1 warrant has the right
to purchase 1.00952 shares at a price of Baht 8.965 per share" to "1 warrant
has the right to purchase 1.02964 shares at a price of Baht 8.790 per share"
Since the final dividend payment is subject to the approval of the
Shareholders' Meeting which will be held on March 29, 2006, the adjustment
of the exercise ratio and price of TICON-W2, therefore, will be effective
from the 2nd exercise date, on June 30, 2006, onwards.
