Subject: Notification of the offering and issuance of new ordinary shares on a private placement
To: The President The Stock Exchange of Thailand
TICON Industrial Connection Public Company Limited ("the Company") would like to notify that on November 27, 2006, the Company sold 107,000,000 newly-issued ordinary shares to non-connected persons via private placement at Baht 19 per share by a book-building process. The total proceeds to be received from this offering is Baht 2,033,000,000 Credit Suisse (Hong Kong) Limited and Credit Suisse Securities (Thailand) Limited were appointed as sole book runners for the share subscription.
This offering by private placement is pursuant to the resolution of the Extraordinary General Meeting of the Shareholders No. 1/2006 held on September 13, 2006.
When details of this private placement are fully settled, the paid-up capital of the Company will increase from Baht 538,411,928 to Baht 645,411,928. The Company will use the proceeds to fund its further business expansion.
Detail of the new ordinary shares subscription (Form 53-5), including list of subscribers, will be submitted to the Stock Exchange of Thailand within today (November 28, 2006).
