Subject Adjustment of Exercise Ratio and Exercise Price of TICON-W1
Attention The President The Stock Exchange of Thailand
TICON's 2007 Annual Ordinary General Meeting of Shareholders held on April 30, 2007 has approved an allotment of 2006 net profit for dividend payment of Baht 1.20 per share, representing 89.62 percent of the Company's 2006 net profit. The proposed total dividend payment, being more than 70% of net profit, will result in an adjustment of exercise ratio and exercise price of TICON-W1 (according to the Section 4, Item 1.11.1(e), of the Company's Prospectus Concerning the Issuance of Initial Public Offering Share and the Issuance of Warrants) from "1 warrant has the right to purchase 5.21618 shares at a price of Baht 1 per share" to "1 warrant has the right to purchase 5.29411 shares at a price of Baht 1 per share".
The adjustment of the exercise ratio and price of TICON-W1 will be effective from the 21st exercise date (last exercise), on June 4, 2007.
