SubjectAdjustment of Exercise Ratio and Exercise Price of TICON-W2
Attention The President The Stock Exchange of Thailand
TICON's 2009 Annual Ordinary General Meeting of Shareholders held on April 23, 2009 has approved an allotment of 2008 net profit for dividend payment of Baht 0.80 per share. The total dividend payment made up altogether 72.63 percent of the Company's 2008 net profit.
The dividend payment, being more than 70 percent of the net profit, will result in an adjustment of exercise ratio and exercise price of TICON-W2 (according to the Section 3, Item 2.4(e), of the Prospectus Concerning the Issuance of Warrants to the Company's selected directors and employees) from "1 warrant has the right to purchase 1.04846 shares at a price of Baht 8.633 per share" to "1 warrant has the right to purchase 1.05281 shares at a price of Baht 8.597 per share". The said adjustment will be effective from the 14th exercise date, on June 30, 2009, onwards.
